Terms of Service
These Terms of Service ("Terms") govern your access to and use of KoachKit (the "Platform"), a product operated by Glowfish Product Studio FZ LLC ("KoachKit", "we", "us"), a company registered in Ras Al Khaimah, United Arab Emirates. By creating an account, claiming a booking link, booking a session, or otherwise using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.
1. Who we are and what KoachKit does
KoachKit is a software platform that helps independent coaches and tutors ("Coaches") publish their programs, share a booking link, schedule sessions, and collect payment from their clients ("Learners"). KoachKit provides the booking and payment tooling; the coaching services themselves are provided solely by the Coach. KoachKit is not a party to, and is not responsible for, the coaching arrangement between a Coach and a Learner.
2. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Platform. If you use the Platform on behalf of an organisation, you confirm you are authorised to bind that organisation to these Terms.
3. Accounts
Coaches register using a mobile number verified by a one-time code. Learners are identified by the mobile/WhatsApp number they provide when booking. You are responsible for the accuracy of the information you provide and for activity that occurs under your account. Keep your access secure and notify us promptly of any unauthorised use.
4. Coach obligations
- Provide accurate program details, pricing, availability, and location information.
- Deliver the sessions you accept, and honour your stated cancellation and refund policy.
- Provide your services lawfully and in compliance with all applicable UAE laws and regulations.
- Hold any licences or qualifications required for the services you offer.
- Handle your Learners' information responsibly and only for delivering your services.
5. Bookings
Learners book available time slots through a Coach's link or via the assistant. A booking is confirmed once payment (where required) is completed. Confirmations, reminders, and changes may be delivered over WhatsApp. The contract for the coaching service is between the Coach and the Learner.
6. Fees, payments, and payouts
Payments from Learners to Coaches are processed by our payment processing provider and are subject to that provider's terms. KoachKit does not store full card details.
- Free plan. Coaches on the free plan may use the Platform with certain usage limits. KoachKit retains a commission of 10% of each Learner payment; the balance, less payment-processing fees, is paid out to the Coach.
- Paid subscription. Coaches on a paid subscription pay a recurring subscription fee and KoachKit retains no commission — Learner payments are passed through to the Coach less only the payment-processing fees charged by our payment provider. Subscriptions renew automatically until cancelled; fees are non-refundable except where required by law.
- Payouts.Coach payouts are made to the Coach's connected payout account and may be subject to settlement holds and verification (including identity/KYC) required by our payment provider or by law.
- Taxes. Coaches are responsible for determining, collecting, and remitting any taxes (including VAT, where applicable) arising from their services.
7. Cancellations and refunds
Cancellation and refund outcomes follow the policy set by the Coach for each program, together with any applicable consumer-protection law. KoachKit facilitates refunds where instructed and permitted, but the underlying decision and obligation rest with the Coach.
8. WhatsApp messaging
The Platform uses the WhatsApp Business Platform to send booking confirmations, reminders, and assistant replies, and to receive your messages. By providing your number and messaging us, you consent to receive these messages. Your use of WhatsApp is also subject to WhatsApp's applicable terms and policies.
9. The assistant
KoachKit offers an AI assistant that answers questions and helps with bookings over chat. To generate replies, your messages are processed by a third-party AI provider. Do not share sensitive personal information with the assistant beyond what is needed to book or manage a session. See our Privacy Policy for details.
10. Acceptable use
You agree not to:
- use the Platform for any unlawful, fraudulent, or harmful purpose;
- circumvent fees, scrape data, probe, or interfere with the Platform's operation or security;
- misrepresent your identity, qualifications, or services;
- upload malicious code or infringe the rights of others.
11. Intellectual property
The Platform, including its software, design, and branding, is owned by Glowfish Product Studio FZ LLC and protected by law. Coaches retain ownership of the content they add (such as program descriptions and profile details) and grant KoachKit a licence to host and display it for the purpose of operating the Platform.
12. Third-party services
The Platform relies on third-party services including payment processing, WhatsApp messaging, analytics and advertising, AI assistant processing, and hosting and infrastructure providers. Your use of features that depend on these services is also subject to their respective terms.
13. Disclaimers
The Platform is provided "as is" and "as available" without warranties of any kind, to the maximum extent permitted by law. KoachKit does not warrant uninterrupted or error-free operation, and does not endorse or guarantee any Coach, Learner, or the quality, safety, or outcome of any coaching service.
14. Limitation of liability
To the maximum extent permitted by law, KoachKit and Glowfish Product Studio FZ LLC will not be liable for any indirect, incidental, special, or consequential damages, or for lost profits, data, or goodwill. Our total liability arising out of or relating to the Platform will not exceed the greater of (a) the fees you paid to us in the three months before the event giving rise to the claim, or (b) AED 500.
15. Indemnity
You agree to indemnify and hold harmless KoachKit and Glowfish Product Studio FZ LLC from any claims, damages, or costs arising from your use of the Platform, your services (if you are a Coach), or your breach of these Terms or applicable law.
16. Suspension and termination
We may suspend or terminate access to the Platform if you breach these Terms, create risk or legal exposure, or where required by law. You may stop using the Platform at any time; certain obligations (such as payment for sessions delivered) survive termination.
17. Changes to the Platform or these Terms
We may update the Platform and these Terms from time to time. Material changes will be reflected by updating the "Last updated" date and, where appropriate, by notice. Your continued use after changes take effect constitutes acceptance.
18. Governing law and disputes
These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Ras Al Khaimah. The courts and applicable authorities of Ras Al Khaimah have jurisdiction over any dispute, subject to any mandatory consumer-protection rights you may have.
